Terms of Service

1. Agreement to Terms

These Terms of Service (“Terms”) govern your access to and use of BidWay, a government contract management platform operated by BidWay, LLC (“Company,” “we,” or “us”). By creating an account or using the Service, you agree to be bound by these Terms.

2. Description of Service

BidWay provides tools for tracking government contract solicitations, managing vendors and customers, preparing bids, and analyzing market data related to government contracting. The Service aggregates publicly available data from DIBBS, SAM.gov, and FPDS.

3. Account Registration

  • You must provide accurate and complete information when creating an account
  • You are responsible for maintaining the security of your account credentials
  • You must notify us immediately of any unauthorized access to your account
  • One account per individual — sharing credentials is prohibited
  • You must be at least 18 years old to use the Service

4. Subscription and Billing

  • BidWay offers subscription plans billed monthly or annually
  • Free trial periods may be offered at our discretion
  • Subscription fees are non-refundable except as required by law
  • We may change pricing with 30 days advance notice to existing subscribers
  • Failure to pay may result in suspension or termination of access

5. Acceptable Use

You agree NOT to:

  • Use the Service for any unlawful purpose
  • Attempt to gain unauthorized access to other users’ data
  • Scrape, crawl, or automated-harvest data from the Service
  • Upload malicious files, viruses, or harmful content
  • Interfere with or disrupt the Service or its infrastructure
  • Resell, sublicense, or redistribute access to the Service
  • Use the Service to submit fraudulent bids to government agencies
  • Misrepresent your identity or company affiliation

6. Data Ownership

  • Your data: You retain ownership of all data you upload, enter, or connect to the Service (documents, vendor information, notes)
  • Government data: Solicitation data from DIBBS, SAM.gov, and FPDS is publicly available and not owned by any party
  • Our platform: BidWay’s software, designs, algorithms, and documentation are our intellectual property
  • Aggregated data: We may use anonymized, aggregated usage data to improve the Service

7. Service Availability

  • We strive for 99.9% uptime but do not guarantee uninterrupted service
  • Scheduled maintenance windows will be communicated in advance
  • We are not liable for downtime caused by third-party services (DIBBS, Stripe)
  • Government data sources (DIBBS, SAM.gov) may be temporarily unavailable — this is outside our control

8. Data Accuracy Disclaimer

BidWay aggregates data from government sources and performs automated analysis. While we strive for accuracy:

  • Solicitation data is sourced from DIBBS and may have parsing variations
  • Pricing estimates and market intelligence are for informational purposes only
  • Always verify bid details against the official solicitation documents on DIBBS
  • BidWay is not a substitute for professional contracting advice

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIDWAY, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

Our total liability for any claims under these Terms shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless BidWay, LLC from any claims, losses, or damages arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

11. Termination

  • You may cancel your account at any time from Settings
  • We may suspend or terminate accounts that violate these Terms
  • Upon termination, your data is retained for 30 days, then permanently deleted
  • You may request an export of your data before account deletion

12. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email to active account holders at least 30 days before taking effect. Continued use after changes constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Wyoming.
